By accessing or using Agents Factory, a service provided by Gazelle Labs LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our service.

Agents Factory is a platform that enables users to create, deploy, and manage AI-powered conversational agents across multiple channels including web, Discord, Telegram, and WhatsApp. We reserve the right to modify, suspend, or discontinue the service at any time.

3. Account Registration

To use our service, you must:

• Be at least 18 years old or have parental consent
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Be responsible for all activities under your account

4. Acceptable Use

You agree not to use Agents Factory to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit harmful, offensive, or illegal content
• Engage in spam, phishing, or fraudulent activities
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service or servers
• Create agents that impersonate real individuals without consent
• Generate or distribute misinformation or harmful content

5. User Content

You retain ownership of content you create using our service. By using Agents Factory, you grant us a license to:

• Host, store, and display your content
• Use your content to provide and improve our services
• Create backups and copies for operational purposes

You are solely responsible for your content and the consequences of sharing it. We may remove content that violates these Terms.

6. AI-Generated Content

Agents created on our platform use artificial intelligence to generate responses. You acknowledge that AI-generated content may not always be accurate, appropriate, or suitable for your purposes. You are responsible for reviewing and monitoring the output of your agents.

7. Payment Terms

For paid plans:

• Fees are billed in advance on a recurring basis
• All fees are non-refundable unless otherwise stated
• We may change pricing with 30 days notice
• You are responsible for applicable taxes
• Failure to pay may result in service suspension

8. Intellectual Property

Agents Factory, including its design, features, and content, is owned by Gazelle Labs LLC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our service without written permission.

9. Third-Party Services

Our service integrates with third-party platforms (Discord, Telegram, WhatsApp, etc.). Your use of these platforms is subject to their respective terms of service. We are not responsible for third-party services or their availability.

10. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, secure, or error-free. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Gazelle Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising from your use of the service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Gazelle Labs LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may terminate or suspend your account at any time for violations of these Terms or for any other reason at our discretion. Upon termination, your right to use the service ceases immediately. You may terminate your account at any time by contacting us.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by the laws of the United States. Any disputes arising from these Terms or your use of the service shall be resolved through binding arbitration in accordance with applicable arbitration rules.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
